Appointed by and responsible to: Current board in accordance with their Articles of Association.
Remuneration: Patchwork Hub is a social enterprise and early stage organisation, and therefore does not pay its Non-Executive Directors.
Expenses: All reasonable expenses will be reimbursed in accordance with Patchwork Hub’s Non-Executive Directors Expenses Policy.
Time commitment: Whilst we would estimate a time commitment of around 10 days per annum is required, there is no fixed time commitment for the role.
This would include Board Meetings and representing Patchwork Hub at various events and meetings with key stakeholders.
Term: Two-year term, subject to review, with no exclusion from being re-elected.
Location: Board meetings usually take place virtually, on Zoom.
Timing and board dates:
Board meetings will usually take place on a quarterly basis, and additionally as needed by the business to be communicated in advance.
These have been provisionally booked for:
Probation: There will be a three-month probationary period where the appointment will be reviewed by the CEO and Chair.

As a Non-Executive Director of Patchwork Hub you will be responsible for the strategic management of the company.
In addition, we are currently seeking people with particular experience in:
Governance;
Finance;
Disability inclusion;
Recruitment;
Business Development;
Sales & Marketing;
Commercialisation and scale-ups.
To ensure that Patchwork Hub complies with its Articles of Association, company law, and any other relevant legislation or regulations.
Comply with the company’s governing document and the law.
Act in the company’s best interests.
Manage the company’s resources responsibly.
Act with reasonable care and skill.
Ensure the company is accountable.
Keep the company records and report relevant changes to the HMRC, Companies House and any other relevant regulator.
File your accounts, returns and other annual regulatory reporting.
Declare conflicts of interest, especially if you might personally benefit from a transaction the company makes.
Ensure the Company’s Corporation Tax and other taxes and duties including NI, PAYE and VAT (as relevant) are paid.
Note: Other people can be hired to manage some of these day-to-day items (for example, an accountant) but the company is still legally responsible for your company’s records, accounts and performance.
In addition to the above statutory duties, each Non-Executive Director should use any specific skills, knowledge or experience they have to help the board of Patchwork Hub reach sound decisions.
This may involve:
Contributing actively to the board’s role in giving firm strategic direction to the organisation, setting overall policy, defining goals and setting targets and evaluating performance against agreed targets.
Supporting Patchwork Hub’s social mission: closing the disability employment gap and creating decent work for all who can.
Providing guidance on new initiatives, focus areas and avenues for growth.
Leveraging key networks and contacts to support Patchwork Hub’s growth and impact.
Monitoring the performance of and supporting the Executive team.
Safeguarding the reputation and values of Patchwork Hub.
Ensuring the financial stability of the company.

Essential
Governance – interest in engaging with and learning about how Patchwork Hub’s governance is delivered.
Leadership experience – at least 5 (or more) years of experience in a leadership or management role.
Financial literacy – ability to review financial information with sound judgement and logic.
Strategic planning – experience in planning at a strategic and organisational level.
Commitment to active involvement - excited to play an active part in shaping Patchwork Hub’s growth, sharing your expertise and time to help us succeed.
Desirable
Founder-led organisations – experience serving on the board of an organisation led by a founder-entrepreneur.
Scale-up stage organisations - experience supporting organisations at an early stage as they scale up their revenue and services, helping to build and define processes and structures that enable sustainable growth.
Knowledge of running a company as a Non-Executive Director.
Specific industry or technical expertise, in particular: finance; recruitment / HR; disability inclusion, neurodiversity and accessibility; business development and commercialisation; sales and marketing.
Lived experience of the barriers that Patchwork Hub addresses.
