Terms and Conditions 

These Service Terms (the ‘Terms’) set out the terms and conditions under which Patchwork Hub Limited (trading as Patchwork Hub), with company number 12192577 and with a registered address at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ herein referred to as ‘Patchwork Hub’ or ‘We’, grants to a Patchworker and/or an Employer a licence to use the Site and the Interactive Services (together, the ‘Services’) on (the ‘Site’).

Patchwork Hub facilitates the provision of a specialised online platform which links users who require talent (‘Employers’) with individual contractors, consultants, sole traders, companies or any other legal entity (whether incorporated or unincorporated) who have registered via the Site (‘Patchworkers’). The Platform enables Employers to post job opportunities and connect with talent and enables Patchworkers to feature their profile and apply for work opportunities published on the Site. In these Terms, references to ‘You’ and ‘Your’ are references to the Patchworker and/ or Employer who are registered on the Site (each a ‘Patchwork Hub Member’). When You use the Services, You agree that these Terms apply to that use in addition to any other terms and conditions which may apply including the Patchwork Hub Privacy Statement, the Patchwork Hub Cookie Policy and the Patchwork Hub Site Terms of Use which are all incorporated by this reference (together, the ‘Agreement’).

1  DEFINITION & INTERPRETATION

The definitions to be read with this Agreement are set out in full at clause 15. 

2  YOUR USER AGREEMENT WITH PATCHWORK HUB

2.1 These Terms govern the activities of Patchwork Hub Members in relation to the use of the Services. By using the Services, You accept the Terms in full and You expressly agree to be bound by all applicable laws and regulations. If You violate these Terms, Patchwork Hub may terminate Your use of the Site, bar You from future use of the Site and/or take appropriate legal action against You.

2.2 Patchwork Hub reserves the right to change one or more of the provisions in these Terms (including changes to Patchwork Hub Packages) at any time, effective immediately upon publishing on the Site. However, if in our view any change significantly affects Patchwork Hub Members’ rights or obligations, we shall notify you by email of such changes, and such changes shall take effect 30 days after the date of notification. Please check this page of the Site periodically. Read it carefully and ensure that You understand its effect before proceeding to use the Services. You agree that Patchwork Hub will treat Your use of the Services as acceptance of the terms of the Agreement including Your continued use subsequent to any changes being posted on the Site.  If You disagree with any part of these Terms, do not use the Site or the Interactive Services.

2.3 Summary details of your User Agreement with Patchwork Hub.

2.31 By accessing any part of this website, you shall be deemed to have accepted this legal notice in full.

2.32 Patchwork Hub may revise this legal notice at any time by updating this posting on its website. You should check this website from time to time to review the current legal notice, because it is binding on you.

2.33 Patchwork Hub may make changes in or withdraw any of the services described in this website and at any time without notice.

2.34 You acknowledge that the Internet and online services offered by Patchwork Hub may from time to time be inoperative in full or in part as a consequence of factors beyond the control of Patchwork Hub and you acknowledge that Patchwork Hub will not be held liable for any consequences of this.

2.35 You may not misuse the website (including, without limitation) by hacking or committing fraud. Patchwork Hub will not be liable to you for any direct, indirect, consequential, special or other damage resulting from the transmission from this website to your computer systems of viruses, worms, Trojan horses or other destructive items, however caused, such damage to include, without limitation, loss of profits, interruption to business, loss of the whole or any part of a programmer any data how so ever stored whether saved on a computer system or otherwise.

2.36 While Patchwork Hub endeavours to ensure that the information on this website is correct, Patchwork Hub does not warrant the accuracy or completeness of the material on this website. Patchwork Hub may make changes to the material on this website at any time without notice. The material on this website may be out of date, and Patchwork Hub makes no commitment to update such material. By using the website you agree to all risks and agree that Patchwork Hub is not responsible for the acts or omissions of others.

2.37 The material on this website is provided "as is" without any conditions, warranties or other terms of any kind. Accordingly to the maximum extent permitted by law, Patchwork Hub provides you with this website on the basis that Patchwork Hub excludes all representations, warranties, conditions and other terms which but for this legal notice might have effect in relation to this website.

2.38 Patchwork Hub shall not be liable to you for any loss or damage suffered, of any nature whatsoever as a result of you using this website or our services.

2.39 Patchwork Hub does not make any representation as to the security, quality or propriety of any website which may be accessed through this website. Linked websites accessed through this website are independent websites over which Patchwork Hub does not exercise any control. Patchwork Hub has no responsibility or liability to you in respect of any actions taken by you from any such linked website nor in respect of the use of any personally identifying information by any such linked website or its owner. Access to any of the third party websites linked to this website is entirely at your own risk.

3.  YOUR PATCHWORK HUB MEMBER PROFILE

3.1 To become a Patchwork Hub Member, entitling You to make use of the Services and to be party to a recruiting via the Site, You agree to comply with the terms of the Agreement in full inclusive of these Terms at all times.

3.2 Once you have signed up, you will then receive a verification email and when You click on the link in Your email, You will be transported back to the Site to start creating Your Patchwork Hub Member Profile.

3.3 In the interests of safeguarding on a public platform, it is advisable that You do not include Your full name or personal contact details within Your Patchwork Hub Member Profile. 

3.4 You warrant and represent that the Data that You provide is true, accurate and complete (including as a Patchworker, Your credentials set out in Your profile or applications).

3.5 Patchwork Hub reserves the right to verify the identity of any person seeking to register as a Patchwork Hub Member. You hereby authorise Patchwork Hub to make such checks (whether by way of identity documentation or enquiries of third parties) as are reasonable and necessary.​

3.6 In order to provide You with maximum protection, during registration, You will be asked to input Your email address and to choose a password to create Your Login and to access your Account on the Site in accordance with these Terms. You will keep Your Login relevant to the Site and the Interactive Services confidential and not reveal it to anyone.​ 

3.7 You are responsible for all activities that are carried out under Your Login unless it is a result of actions beyond Your reasonable control (such as hacking or if someone steals Your password when You have taken reasonable steps to keep it secure).  We do not have the means to check identities and will not be liable where Your Login is unlawfully used by another.

3.8 You agree to notify Patchwork Hub immediately by email at [email protected] of any unauthorised use of Your Login or Account of which You become aware (with “IMPORTANT” in the subject line). You will not create additional accounts for the purpose of abusing the functionality of the Site or other registered Patchwork Hub Members or for any other reason in breach of these Terms. 

3.9  You can freely remove and delete Your user-generated-content (‘UGC’) and You can cancel Your Account and Membership at any time. Please contact us to have your Account closed if You are no longer using it.

3.10  Although Patchwork Hub cannot monitor the conduct of Patchwork Hub Members off the Site, it is a violation and offence to use any information obtained from this Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit or sell to any Patchwork Hub Member without their prior explicit consent.

3.11  You may not transfer ownership or sell your Patchwork Hub Account to another party.

​3.12  Each Account must be a personal account but Patchwork Hub Members may trade as a sole trader, company or any other legal entity (whether incorporated or unincorporated). A Patchwork Hub Member may be a business that involves multiple people. An Employer may be a consumer, or an organisation acting for purposes relating to its trade, business, craft or profession.

3.13  Patchwork Hub Members who do not comply with these Terms may be subject to review, which can result in suspension of Account privileges and/or termination. This includes all Accounts by virtue of association. Patchwork Hub reserves the right to suspend or terminate the use of the Site for a Patchwork Hub Member (including halting any Projects that may be running) at any time and for any reason, in particular, where:​(a) Patchwork Hub reasonably suspects that You are in breach of the letter or the spirit of these Terms or any other terms of the Agreement; or,(b) We are unable to authenticate any Data or information You provide; or,(c) where We feel Your actions or omissions may cause any loss or liability to Patchwork Hub or other Patchwork Hub Members.Suspended or terminated Patchwork Hub Members remain obligated to pay Patchwork Hub for any unpaid Patchwork Hub Fees.

3.14 Within Your Patchwork Hub Member Profile You:(a) can include a professional image of yourself or have Your company logo instead however We recommend a personal photo instead. The Patchwork Hub marketplace is built on trust and personal integrity and personal photos tend to be more friendly and inviting than logos!;(b) must not include any links to Your website or any third party website;​ (c) must not upload any content that breaches our Terms including our Patchwork HubSite Terms of Use;​(d) must not share your bank account or any other withdrawal method. Such will lead to Account suspension or termination.

 4. TERMS OF SERVICE FOR EMPLOYERS 

4.1 Employers are solely responsible for their postings on Patchwork Hub, and Patchwork Hub shall not be responsible for any employment decisions made by any entity posting jobs on Patchwork Hub.

4.2  Job adverts posted on Patchwork Hub may not contain:

  • False, misleading or inaccurate information
  • Hidden or misleading keywords or repeated keywords that are not relevant to the post opportunity being advertised.
  • material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 16

4.3 Employers are expected to abide by General Data Protection Regulations and the Equality Act 2010.

 4.4 You must not:

  • post jobs in a manner that does not comply with applicable legislation, including but not limited to laws relating to employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property
  • post jobs that include any screening requirement or criterion in connection with a job posting where such requirement or criterion is not an actual and legal requirement of the posted job
  • post any pyramid scheme, club membership, distributorship, or multi-level marketing opportunity
  • post any business opportunity that requires an upfront or periodic payment or requires recruitment of other members, sub-distributors or sub-agents
  • post any business opportunity that pays commission only unless the posting clearly states that the available job pays commission only and clearly describes the product or service that the job seeker would be selling
  • promote any opportunity that does not represent bona fide employment

Patchwork Hub reserves the right to remove any job posting or content which, in its discretion, does not comply with the above Terms, or if any content is posted that we believe is not in the best interest of our job seekers. 

5. TERMS OF SERVICE FOR PATCHWORKERS

5.1 Patchwork Hub does not make any guarantee whatsoever about any job vacancy advertisement which is accessed on this website or shared by Patchwork Hub on social media. We also make no guarantees about any of the employers who advertise vacancies on this site. It is a matter for you to satisfy yourself as to the suitability of any agency, employer or job found directly or indirectly through this website.

​5.2 You must choose a password on completion of registration. You shall be responsible for all actions taken under that password and shall only access the website using your own password. You should not disclose your password to any other person. Patchwork Hub’s administrator does not have access to passwords, they are encrypted to ensure the security of our users. 

5.3 You should ensure that information you send to us or any advertiser is accurate and lawful. You indemnify us and hold us harmless from any losses, damages, costs or expenses that you cause us by virtue of your actions or omissions.

5.4 Patchwork Hub accepts no responsibility or liability for the performance or behaviour of any agency, employer or other third party that you come into contact with through your use of this website.

5.5 If you apply for any job or jobs using the website you consent to Patchwork Hub monitoring and storing the information provided, including your personal details.

5.6 Patchwork Hub excludes all liability it may have to you to the fullest extent permitted by law (and whether such liability arises in contract, tort or otherwise) as a result of your use of this website or your accepting of a job vacancy obtained directly or indirectly through this website.

6.  PATCHWORK HUB MEMBER OBLIGATIONS

​6.1 Patchwork Hub Members acknowledge that the Patchwork Hub Services are limited to providing an open marketplace which connects Employers with Talent by way of making applications in a dedicated online environment.​

6.2 As a Patchwork Hub Member, You warrant, represent and undertake to Patchwork Hub that:​

(a) You are at least eighteen (18) years of age at the time of applying for Membership (where You register as an individual and not via a company or other legal entity);
(b) You have and shall continue to have all necessary licences, rights, consents, and permissions which are required to enable Patchwork Hub to use or display Your UGC in the manner contemplated by these Terms and the Patchwork Hub Site Terms of Use;
(c) You will comply with all applicable laws and codes of practice;
(d) You agree to cooperate fully with Patchwork Hub and any Patchwork Hub Member in resolving any Dispute;
(e) all information provided to Patchwork Hub or to another Patchwork Hub Member in respect of itself (when applying to be an Approved Patchwork Hub Member or at any time thereafter) and in respect of any Employment is true and accurate in all respects;
(f) You are solely responsible for any breach of Your obligations under the terms of the Agreement due to Your act, omission, default or Your failure to comply with any of Your obligations therein and for the consequences of any such breach or failure;
(g)  You are not economically barred/limited under sanctions rules of any country worldwide. If Your circumstances change to be included in such lists, please cease using Patchwork Hub immediately. As per UK Anti-Money Laundering regulations, Patchwork Hub is unable to support users from North Korea, Iran, Syria, Cuba, Sudan (Republic of Sudan or North Sudan), South Sudan (Republic of South Sudan) and Region of Crimea; and,
(h) You will keep Your Login details secure and confidential.​ 

 7. TERMINATION

7.1  Patchwork Hub reserves the right to terminate the registration of any Patchwork Hub Member at its sole discretion for any reason for convenience or for cause.

7.2  Where Patchwork Hub reasonably suspects or discovers that a breach of these Terms may have (or has been) committed, Patchwork Hub will immediately terminate this Agreement.

7.3  As a Patchwork Hub Member, You may terminate its registration by using the facility available in Your Account.  

8. EVENT OUTSIDE OUR CONTROL

We will not be liable or responsible for any failure to perform, or delay in performance of, any of the Services caused by an Event Outside Our Control. If an Event Outside Our Control takes place that is likely to adversely affect the performance of any Patchwork Hub obligations, You will be notified of this and our obligations under the Terms shall be suspended for the duration of the Event Outside Our Control. We will endeavour to keep You updated as to when the Services may become available again. This is our sole obligation to You.

9. CONFIDENTIAL INFORMATION

A Patchwork Hub Member (‘receiving party’) shall keep in strict confidence all Confidential Information including but not limited to all Messenger communications, all technical or commercial know-how, specifications, inventions, processes or initiatives which are of a confidential nature and have been disclosed to the receiving party by another Patchwork Hub Member (‘disclosing party’) concerning the disclosing party's business and services and in respect of an application. The receiving party shall only disclose such Confidential Information to those of its employees, agents and subcontractors who need to know it for the sole purpose of discharging the receiving party's obligations and shall ensure that such employees, agents and subcontractors comply with the obligations set out in this Clause as though they were party to it. The receiving party may disclose such of the disclosing party's Confidential Information as is required to be disclosed by law, any governmental or regulatory authority or by a court of competent jurisdiction. This Clause 17 shall survive termination of the Agreement.

10. ENTIRE AGREEMENT/ SEVERABILITY

These Terms incorporate the Patchwork Hub Privacy Statement, the Patchwork Hub Cookie Policy and the Patchwork Hub Site Terms of Use which together constitute the entire Agreement between You and Patchwork Hub in relation to Your use of the Site and/ or the Interactive Services and supersedes any prior representations, inducements or agreements relating to its subject matter. Should the courts strike-out as invalid or unenforceable or otherwise alter any part of the terms herein, the remaining terms shall remain valid and in force.

11. ASSIGNMENT

These Terms shall be personal to You and You may not assign or transfer Your Patchwork Hub Membership and Account to a third party. Patchwork Hub reserves the right to assign or transfer all or any of its rights and obligations under these Terms to any companies in the same group as Patchwork Hub or other third party. In the event of assignment or transfer, notification will either be given to You by e-mail or posted on the Site.

12. NO WAIVER

Failure by either Patchwork Hub or You to exercise or enforce any right conferred shall not be deemed to be a waiver of any such right nor operate so as to bar that exercise or enforcement thereof or of any other right on any later occasion.

13. THIRD PARTY RIGHTS

You may enforce these Terms in accordance with the provisions of the Contracts (Rights of Third Parties) Act 1999 (the ‘Act’). Except as provided above, these Terms do not create any right enforceable by any person who is not a party to it under the Act, but does not affect any right or remedy that a third party has which exists or is available apart from that Act.

14. LAW AND JURISDICTION

Patchwork Hub will try and solve any disagreements that You may have as between You and Patchwork Hub quickly and efficiently. If a Patchwork Hub Member is not happy with the way Patchwork Hub deals with any disagreement and wants to take court proceedings, the Patchwork Hub Member must do this within England. Relevant English law will apply to the Agreement and the relevant courts of England will have exclusive jurisdiction in relation to the Agreement.

​ 15.  DATA PROTECTION & PRIVACY

In respect of any Personal Data (as defined in the Data Protection Law) processed by the parties, all parties warrant that they shall comply with, and will continue to comply with, the Data Protection Law pursuant to these Terms which incorporates the Patchwork Hub Privacy Statement and the Patchwork Hub Cookie Policy by this reference.

​​16.  DEFINITIONS

In these Terms (except where the context otherwise requires) the following words shall have the following meanings:

Account: means the secure online electronic account created by an Approved Patchwork Hub Member upon registration and from where the same can access the Interactive Services via their Login.

Business Day: any day (other than a Saturday or Sunday) when banks are generally open for normal business in the UK.

Confidential Information: all information (whether technical or commercial disclosed in writing, on disc, orally or by inspection of documents or pursuant to discussions between any of the parties) via the Messenger or otherwise in relation to a Project or any use of the Site, where the information is:
(a)  identified as confidential at the time of disclosure; or,
(b)  ought reasonably to be considered confidential given the nature of the information or the circumstances of disclosure.

Data: refers to both Personal Data and financial data.Data Protection Law: refers to the Data Protection Act 1998EU data protection regulation 2016/679 together with any other applicable regulations, orders, code of practice and guidance.

Employer: a person looking to connect with talent on Patchwork Hub.

Event Outside Our Control: any happening or event beyond the reasonable control of Patchwork Hub including but not limited to strikes, lock-outs or other industrial disputes (whether involving the workforce of Patchwork Hub or any other party), failure of a utility service or transport or telecommunications network, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or sub-contractors, injury to Patchwork Hub or supplier persons, any act of God including fire, flood, earthquake, windstorm or other natural disaster; war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, breaking off of diplomatic relations or similar actions; terrorist attack, civil war, civil commotion or riots; nuclear, chemical or biological contamination or sonic boom; fire, explosion or accidental damage; extreme adverse weather conditions; mandatory compliance with any law (including a failure to grant any licence or consent needed or any change in the law or interpretation of the law) which results in a failure or delay in the performance of Patchwork Hub’s obligations under the Terms.

​Interactive Services: includes the provision of an online platform for browsing, selling and buying.​

Job Categories: refers to the pre-determined categories in to which Jobs are grouped.Login: the username and unique password a Patchwork Hub Member applies to their Account upon registration.

Losses: means any claims, losses, demands, actions, third party claims, damages, costs (including court costs and legal fees), fines, liabilities, obligations, liens and expenses.

Personal Data: as defined in the Data Protection Law.

Patchwork Hub: means the website with the domain name patchworkhub.org or Patchwork Hub Limited as the context so requires.

Patchwork Hub Member/Patchworker: refers to a professional registered on the Site. The Patchwork Hub Member may browse, apply for jobs (Patchworker) or advertise (Employer) one or more job posts published on the Site.Patchwork Hub Member/Patchworker Profile: refers to the information published on the Site including the Patchwork Hub Member public biography, first name, last name, email, D.O.B., gender, photo and address.

Patchwork Hub Team: refers to our customer support team contactable at: [email protected]: a person looking to connect with work opportunities via Patchwork Hub.Site: means a website owned and operated by Patchwork Hub including patchworkhub.org.

Services: refers to the provision by Patchwork Hub of the Site and the Interactive Services including but not limited to back office support such as billing and IT services.

UGC: means all content provided, generated, uploaded, embedded or otherwise displayed and/ or stored on the Site by a Patchwork Hub Member including without limitation, the content of Profiles and Posts, proposals and communication for the purposes of advertising, connecting and applying for posts. They may include but are not limited to, text, articles, images, graphics, photos, stories, audio, video, software, audio-visual combinations, interactive features and other materials in any form, medium or technology now known or hereinafter developed that may be viewed on, accessed through or disseminated publicly on the Site for use by Patchwork Hub Members and Patchwork Hub. UGC is the sole responsibility of the person who originated it.
